E-Commerce & Cloud Computing

We have so far provided advice in respect of multiple financial technology cloud platforms. Corporate Actions

RDKM Advisory has provided advice in relation to various types of corporate actions including acquisitions & disposals, share repurchases, rights offers, issues of shares for cash, alterations to share capital, preference share funding, public listings and delistings, shareholder remedies and minority protection, formation of corporate structures and conducting vendor due diligence exercises.

Capital Markets

We have been one of the legal advisors, under the leadership of a Big 5 law firm, in the issuing of a R5bn Domestic Medium-Term Note Programme Memorandum on the Cape Town Stock Exchange. Our role included the negotiation and conclusion of all the contractual arrangements with the service providers involved in the transaction (Registry Services, Issuer Agent, Strate Corporate Actions Agency etc). We have also been the legal advisors for a debt and equity fund in a number of successful capital raises amounting to more than R300m.

Asset Backed Finance

We have provided advice in respect of numerous secured asset-based lending transactions, amounting in aggregate to more than R200m and involving approximately R450m in secured assets. Our experience includes acquisition finance and corporate lending.

Private Equity

We provide advice in relation to fund structuring and formation, legal and operational due diligence exercises, policy frameworks as well as financial market infrastructures.

Regulatory

RDKM Advisory provides advice in relation to various regulatory matters in the financial sector. We have provided advice in relation to alleged market abuse, directors trading, disclosure requirements in terms of the CTSE and JSE Listing Requirements, as well as assisting clients in relation to investigations by the CTSE and the FSCA.

We have extensive experience in drafting and negotiating various forms of commercial contracts including agency, consumer, confidentiality, distribution, escrow, financing, franchising, lending, logistics, outsourcing, payments, software services, international supply, sale as well as treasury agreements.

We provide advisory services in relation to the JSE and CTSE Listing Requirements, the conduct of board and shareholder meetings, including annual general meetings, shareholder notices, proxy forms, board and shareholder resolutions. Our clients include listed and unlisted companies.

Our experience extends to providing corporate and commercial advice in 8 markets in Sub-Saharan Africa with a particular focus on international commercial arbitrations.

White-Collar Crime and Corruption
