Reggie Dlamini is the founder of RDKM Advisory. Prior to its establishment he was the Group General Counsel at Sandton based fintech Altvest Capital Limited, which became publicly listed on the Cape Town Stock Exchange in 2022. In that role he was responsible for legal strategy in respect of the entire group. He has in his career led numerous transactions, which in aggregate exceed R10bn in value.

Before joining Altvest Capital he served as an Executive as the Corporate General Counsel at Walmart Inc. owned SA multinational Massmart Limited where he had been for a period of seven years. In that role he was responsible for Mergers & Acquisitions, Treasury, JSE Listings Requirements, Corporate Actions and Corporate Finance, Corporate Governance, Employee Benefits and Tax in 12 Sub-Saharan Africa countries.

In the years prior to joining Massmart he practised as a commercial attorney at Bowmans and Spoor & Fisher.

Reggie has extensive experience in e-commerce and cloud computing matters, corporate actions, capital markets, asset backed finance, private equity, regulatory, commercial, intellectual property, governance, cross-border and anti-corruption matters. A significant recent transaction that Reggie has advised on is the delisting of Altvest Capital from the Cape Town Stock Exchange and its simultaneous transfer to, and listing on, the Alternative Exchange of the JSE.

The listing comprised of: up to 11 000 000 Ordinary Shares (“Ordinary Shares”); 10 000 000 Preferred A Ordinary Shares; 1 250 000 Preferred B Ordinary Shares; and 48 333 334 Preferred C Ordinary Shares, collectively (“Preferred Ordinary Shares”).

The Preferred Ordinary Shares are Hybrid Financial Instruments in terms of section 20 of the JSE Listings Requirements, and the listing was subject to an offer for subscription of up to 1 000 000 Ordinary Shares, 3 924 674 Preferred A Ordinary Shares, 718 844 Preferred B Ordinary Shares and 29 833 894 Preferred C Ordinary shares.
